Article 4: Order
4.1 Prior to the performance of any Service, MLID establishes a quote or a purchase order,
based on the Client’s requests.
The quote or purchase order details the Services that will be performed by MLID at the Client’s request.
4.2 The Client undertakes to verify the accuracy of the information they provide and to correct any
errors before any validation and signature of the quote or purchase order.
4.3 The Client then returns the duly dated and signed quote or purchase order to MLID by email or mail,
thereby formalizing the Order. The Client’s Order is then firm and
final, subject to the terms of articles 7 and 9 of these GTC.
4.4 The signature of the quote or purchase order constitutes express acceptance of the GTC by the Client.
4.5 Any request for additional Services will be subject to a new Order, it being
specified that MLID is not obliged to accept to perform services other than those
initially agreed upon (unless the proper execution of the initial Services depends on the performance
of these new Services).
4.6 In addition to the various appointments scheduled for the performance of the Service or Services,
the Client can contact MLID at the following address: hello@margauxlemoine.fr or by
phone at 06.83.43.25.98 from 10 AM to 6 PM.
Article 5: Performance of Services
5.1 The quote, or the purchase order, details the Service or Services requested by the
Client.
For their performance, deadlines are indicated for informational purposes. MLID makes its best
efforts to respect them. These deadlines may evolve during the performance of the
Services, notably and without limitation, due to technical constraints
discovered during execution, new Client requests, Client validation
delays, etc.
5.2 Under no circumstances can MLID be held responsible for delays in delivery by suppliers
and/or service providers.
5.3 For certain Services, such as the Personalized Study (3.2), deliverables are submitted in stages
to the Client, requiring validation by the Client at each stage. In this case, a complete
and final version of the study will be submitted at the end of the execution, incorporating all deliverables
established during the performance of the Service.
5.4 Regarding Site Coordination (3.3), the completion time for this Service depends
on the Client’s contractual commitments with the construction companies.
Article 6: Price – Payment Terms for Orders
6.1 The price of the Service or Services is indicated in euros excluding taxes (HT) and all taxes
included (TTC) on the quote or purchase order signed by the Client.
6.2 Payment for the Services is made by bank transfer or check according to the following deadlines and terms:
- “Consultation Appointment”: 100% on the day of the Order;
- “Personalized Study”: a 50% deposit on the day of the Order; 30% upon validation

applicable, any reservations made by the Client) - “Property Enhancement for Sale”: 100% on the day of the Order;
- “Feasibility Study”: a 60% deposit on the day of the Order, 40% upon submission of
the study.
The Parties agree that they may deviate from these deadlines and terms within the quote or
purchase order, which, if applicable, shall prevail over these GTC.
6.3 Each deposit and intermediate payment request will be subject to an invoice issued by
MLID.
The Client undertakes to pay invoices transmitted by MLID within fifteen days. A delay in payment
may result in the application of interest at the legal rate in force.
6.4 Additional invoicing, particularly concerning lump-sum Services, may occur
due to, for example, the need to carry out additional studies, caused by the
discovery of technical constraints that were not known to the Client or MLID. In this case,
MLID will inform the Client and request their agreement.
6.5 It is expressly recalled, particularly for the Styling Service, that MLID cannot guarantee
that the companies from which it orders and purchases, for example, furniture, validated by
the Client, will agree to take back and refund said furniture in the event of a change of mind by the
Client. In this case, the Client will not be able to request a refund from MLID.
Article 7: Right of Withdrawal
7.1 Legal withdrawal period In accordance with the provisions of articles L.221-18 et seq. of the
Consumer Code, the Client has a withdrawal period of fourteen (14) days without
having to justify their decision. This period runs from the day the Order is finalized.
Any withdrawal after this period will be without effect and the Client will remain bound to MLID and
liable for the payment of the price of the agreed Services.
7.2 Conditions for exercising the right of withdrawal The Client exercising their right of withdrawal
may obtain a refund of the sums they would have paid to MLID for the performance of the
Services. The refund will be made by the same payment method as that used by the
Client for the initial transaction, unless otherwise specified by the Client.
The refund will be made as soon as possible and no later than fourteen (14) days
following the effective exercise of the right of withdrawal by the Client. When the fourteen (14) day period
expires on a Saturday, Sunday, or public holiday, it is extended until the next business day.
7.3 Modalities for exercising the right of withdrawal The Client may contact MLID within fourteen
(14) days following the finalization of the Order to exercise their right.

8.2 Any delay in payment by a professional Client may automatically lead to the application of
late payment penalties equal to 3 times the legal interest rate, and the payment of a lump-sum compensation of
40 euros for recovery costs (with an additional charge if said recovery incurs
additional costs).
Article 9: Suspension – Termination
9.1 In the event of non-payment within the deadlines mentioned in article 6.2 of these GTC, MLID
reserves the right to suspend the performance of its Services until the invoice is paid by the
Client.

Order and these GTC) if the non-payment persists, making it impossible to continue
the performance of the Services.
9.3 The Parties agree that they may terminate their contractual relationship, without cause,
within the framework of the “Turnkey” Service (3.5) at the end of the Personalized Study phase. In
such a case, only the Services performed for the Personalized Study will be paid for by the Client.
